Welcome to Tackshare! These Terms of Use ("Terms") govern your access to and use of Tackshare, including our website, mobile applications, and related services (collectively, the "Service").

By using Tackshare, you agree to these Terms. If you don't agree, please don't use the Service.

1. Acceptance of Terms

1.1 Agreement to Terms

By creating an account, accessing, or using Tackshare, you agree to be bound by:

• These Terms of Use
• Our Privacy Policy
• Any additional terms specific to certain features

1.2 Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via:

• Email (if you provided one)
• In-app notification
• Prominent notice on our website

Continued use after changes constitutes acceptance of the new Terms.

1.3 Age Requirements

You must be at least:

• 13 years old (in the United States)
• 16 years old (in the European Union)
• Or the minimum age required in your jurisdiction

If you're under 18, you represent that you have parental/guardian consent to use the Service.

2. Account Registration

2.1 Creating an Account

To use Tackshare, you must:

• Provide accurate and complete information
• Use a valid phone number or email address
• Maintain the security of your account
• Accept responsibility for all activities under your account

2.2 Account Security

You are responsible for:

• Keeping your login credentials confidential
• All activities that occur under your account
• Notifying us immediately of unauthorized access
• Not sharing OTP codes or passwords

We will never ask you to:

• Share your OTP code via email or social media
• Provide your password (we don't store passwords)
• Pay via methods outside our official payment processor

2.3 Account Termination

You can terminate your account at any time via Settings > Delete Account.

We may suspend or terminate your account if:

• You violate these Terms
• You engage in fraudulent activity
• You abuse the Service or other users
• Required by law
• Your account has been inactive for over 1 year (with 30 days notice)

3. Acceptable Use

3.1 Permitted Use

You may use Tackshare to:

• Create and manage notice boards
• Post and share notices
• Collaborate with teams and communities
• Subscribe to public boards
• Use all features consistent with these Terms

3.2 Prohibited Activities

You may NOT:

Content Violations:

• Post illegal, harmful, or offensive content
• Share spam, malware, or phishing links
• Post false, misleading, or deceptive information
• Violate others' intellectual property rights
• Share pornographic or excessively violent content

Platform Abuse:

• Scrape, crawl, or data mine the Service
• Reverse engineer or decompile our code
• Bypass rate limits or notification limits
• Create fake accounts or impersonate others
• Automate interactions (bots) without permission

Harmful Activities:

• Harass, bully, or threaten other users
• Doxx or share others' private information
• Engage in hate speech or discrimination
• Promote self-harm or violence
• Manipulate or game our systems

Commercial Misuse:

• Sell or resell the Service without authorization
• Use for unauthorized advertising or marketing
• Compete with Tackshare using our data

3.3 Consequences of Violations

Violations may result in:

• Warning or temporary suspension
• Content removal
• Account termination
• Legal action (for serious violations)
• Reporting to law enforcement (if appropriate)

4. Content and Intellectual Property

4.1 Your Content

You Own Your Content:

• Notices, boards, and other content you create remain yours
• You grant us a license to operate the Service (see 4.2)
• You can delete your content at any time

You Are Responsible For Your Content:

• Ensure you have rights to post it
• Don't infringe on others' copyrights or trademarks
• We are not liable for your content
• You indemnify us against claims related to your content

4.2 License You Grant Us

By posting content, you grant Tackshare a:

• Worldwide, non-exclusive, royalty-free license
• To use, store, display, reproduce, and distribute your content
• For the purpose of operating and improving the Service
• Including making content available to board members
• This license ends when you delete your content (except for backups)

4.3 Public Content

Public Boards:

• Content is visible to anyone with the link
• May be shared, linked, or embedded by others
• May appear in search engines
• You retain ownership but acknowledge public nature

Private Boards:

• Content only visible to board members
• Still subject to our license (to operate the Service)
• We will not share with unauthorized parties

4.4 Our Intellectual Property

We Own:

• The Tackshare platform, code, and design
• Our trademarks, logos, and branding
• All proprietary algorithms and features

You May NOT:

• Copy, modify, or redistribute our code
• Use our trademarks without permission
• Create derivative works
• Claim ownership of our intellectual property

4.5 Copyright Infringement

DMCA Takedown Notices: If you believe content infringes your copyright:

1. Email: dmca@tackshare.com
2. Include:
   • Your contact information
   • Description of copyrighted work
   • Location of infringing content (URL)
   • Statement of good faith belief
   • Statement under penalty of perjury
   • Physical or electronic signature

We will respond within 10 business days.

Repeat Infringers:

• Accounts with multiple copyright violations will be terminated

5. Subscriptions and Payments

5.1 Subscriptions

Free Tier:

• Unlimited boards
• 1 weekly SMS digest
• Up to 25 members per board
• Standard features
• No payment required

Starter Tier ($4.99/month):

• All Free tier features
• Up to 2 SMS updates per week
• Up to 50 members per board
• Digest scheduling
• Role-based posting
• Priority email support

Pro Tier ($9/month):

• All Starter tier features
• Up to 3 updates per board per day
• Up to 100 members per board
• Daily/weekly digest emails
• Silent real-time notifications
• Custom branding
• Analytics dashboard
• Priority support

Event Tier (from $199/event):

• All Pro tier features
• Unlimited real-time posts during event
• Unlimited members
• Time-boxed boards (up to 7 days)
• Multi-admin support
• Full analytics suite

5.2 Billing

Payment Processing:

• Processed securely by Stripe
• We never store full credit card numbers
• Charged monthly on subscription date

Automatic Renewal:

• Subscriptions auto-renew unless canceled
• You will be charged on renewal date
• Cancel anytime before renewal to avoid charges

Price Changes:

• We may change prices with 30 days notice
• Changes apply to next billing cycle
• Current subscribers: grandfathered for 6 months

5.3 Cancellations and Refunds

Cancellation:

• Cancel anytime via Settings > Subscription
• Access continues until end of billing period
• No partial refunds for unused time

Refunds:

• 30-day money-back guarantee for first subscription
• Contact support@tackshare.com within 30 days
• Refunds processed within 7-10 business days
• No refunds after 30 days

Downgrades:

• Pro features disabled immediately
• Boards remain accessible (limited to Free tier features)
• Data is not deleted

5.4 Failed Payments

If a payment fails:

• We will retry 3 times over 10 days
• You will receive email notifications
• Account may be downgraded to Free tier
• Resubscribe anytime to restore Pro features

6. Notification Guardrails Policy

6.1 Notification Limits

Free Tier:

• 1 weekly SMS digest only
• Resets weekly on chosen day
• All updates delivered in digest

Starter Tier:

• Up to 2 SMS updates per week
• Plus 1 weekly digest
• Excess notifications queued for digest

Pro Tier:

• Maximum 3 updates per board per day
• Optional daily/weekly digest emails
• Silent real-time notifications available

Event Tier:

• Unlimited real-time posts during event window
• No daily limits
• Priority notification delivery

6.2 SMS and Email

SMS Notifications:

• Delivered via Twilio
• Standard SMS rates may apply (check your carrier)
• Opt out anytime via Settings

Email Notifications:

• Delivered to email on file
• Unsubscribe link in every email
• Cannot opt out of account/billing emails

6.3 Abuse Prevention

We may limit or disable notifications if:

• You send excessive notifications
• You abuse the system to spam users
• You receive abuse reports from board members
• You violate our notification policies

7. Data and Privacy

7.1 Privacy Policy

Our Privacy Policy explains how we collect, use, and protect your data. By using Tackshare, you also agree to our Privacy Policy.

7.2 Data Security

We implement:

• Encryption in transit and at rest
• Regular security audits
• Access controls and monitoring

However:

• No system is 100% secure
• You use the Service at your own risk

7.3 Data Retention

Active Accounts:

• Data retained while account is active
• Notices auto-delete after 7 days (default)

Deleted Accounts:

• Data anonymized within 30 days
• Retained in backups for up to 90 days
• Permanently deleted after backup rotation

8.1 Service Providers

We use third-party services to operate Tackshare:

Each has its own terms and privacy policies. By using Tackshare, you also agree to their terms.

8.2 Third-Party Links

Our Service may contain links to third-party websites or services. We are not responsible for:

• Their content or practices
• Their privacy policies
• Transactions with them
• Any damages from using them

8.3 OAuth Providers

Google and Apple:

• Used for optional authentication
• Subject to their terms and privacy policies
• We only request minimum necessary permissions
• You can revoke access anytime via provider settings

9. Disclaimers and Limitations

9.1 Service Provided "AS IS"

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, including:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Uninterrupted or error-free operation
• Accuracy of content
• Security

9.2 No Guarantee of Availability

We strive for 99.9% uptime, but we do not guarantee:

• Continuous or uninterrupted access
• Error-free operation
• Freedom from viruses or malicious code
• Compatibility with all devices/browsers

9.3 User Content Disclaimer

We do not:

• Endorse user content
• Verify accuracy of notices
• Monitor all content proactively
• Guarantee content quality

You acknowledge:

• Users are responsible for their own content
• Content may be inaccurate, offensive, or inappropriate
• You use content at your own risk

9.4 Limitation of Liability

To the maximum extent permitted by law:

We are NOT liable for:

• Indirect, incidental, or consequential damages

• Business interruption

• Damages from user content

Our total liability is limited to:

• Amount you paid us in the last 12 months
• Or $100, whichever is greater

• We were advised of the possibility of damages
• A remedy fails its essential purpose

Some jurisdictions don't allow these limitations. In those cases, liability is limited to the extent permitted by law.

11. Dispute Resolution

• Laws of Delaware (without regard to conflict of law principles)

11.2 Informal Resolution

Before filing a claim, you agree to:

2. Describe the dispute in detail
3. Give us 30 days to resolve informally

11.3 Arbitration Agreement

Binding Arbitration:

• Most disputes will be resolved by binding arbitration
• Conducted by American Arbitration Association (AAA)
• Under AAA's Consumer Arbitration Rules
• In Delaware (or your location, if you prefer)

Exceptions:

• Small claims court disputes (under $10,000)
• Intellectual property disputes
• Violations requiring injunctive relief

Class Action Waiver:

• You agree to resolve disputes individually
• No class actions, class arbitrations, or representative actions
• This waiver is essential to this agreement

Opt-Out:

• You may opt out of arbitration within 30 days

• Include: Your name, email, and phone number

11.4 Jurisdiction

If arbitration doesn't apply, you agree to exclusive jurisdiction in:

12.2 Severability

12.4 Assignment

You may NOT assign these Terms without our written consent.

We may assign these Terms in connection with a merger, acquisition, or sale of assets.

12.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including:

• Natural disasters
• War, terrorism, or civil unrest
• Government actions or regulations
• Internet or telecommunications failures
• Strikes or labor disputes

12.6 Headings

Section headings are for convenience only and do not affect interpretation.

12.7 Survival

Provisions that by their nature should survive termination will survive, including:
